Why the government does not welcome IFM's takeover bid to enter Naturgy

In this Government of contradictions and different thoughts, due to the two members that form it, it has reached the level that they do not agree on why they do not welcome IFM carrying out a takeover bid (Public Acquisition Offer) to buy shares of Naturgy .

On the one hand, Minister Montero says that it must be analyzed and studied carefully and, on the other hand, the other party in the Government, Podemos, says that it goes against the general interest of users.


IFM has decided that it wants to meet with the Government to explain the different plans it has with this takeover bid for Naturgy .

The Government resists Naturgy being in more international funds

IFM wants to buy percent of the company Naturgy, but this will be counterproductive for the company itself, since it will reduce its ' free float ' on the stock market (number of shares in circulation of a listed company that are available for purchase at through the market).

The bad thing about this is that the Naturgy company is already controlled by international funds , and if IFM becomes a shareholder, there would already be international funds that control the company.

The Government has the ace of whether or not to allow approval by law
The Government, and more specifically the Minister of Finance, wants to carefully study IFM's takeover operation to enter Naturgy. The takeover bid must be studied, since Spanish regulations expressly limit offers made to companies in strategic sectors in Spain.

Therefore, in this takeover operation the Government will have the last word , since Naturgy is one of the most important companies in Spain at an energy level and therefore at a strategic level.

The Government made, for some time, a change in the legislation for the purchase of stakes greater than percent in companies that are considered to be in strategic sectors , since they needed analysis and approval so that they could be carried out.

At the moment, IFM has not presented any plan to the Government of what its intentions will be regarding the OPA (Public Acquisition Offer) of Naturgy and clearly IFM must take the step.
